Terms of Service

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION AGREEMENT AND A WAIVER OF CLASS ACTIONS AND JURY TRIALS (SEE "DISPUTE RESOLUTION AND ARBITRATION"), UNLESS YOU OPT OUT AS DESCRIBED THERE.

Version 1.0.0 · Effective October 19, 2026

Agreement to these terms

These terms are an agreement between you and Purple Directive ("we", "us") about your use of Volstrin and its related websites, communications and services (the "Services"). By using the Services, you agree to these terms and to our Privacy Policy. If you use the Services for an organization, you agree for that organization and confirm you have authority to do so. If you have a separate written agreement with us for the Services, that agreement governs where it conflicts with these terms. Additional terms shown for a particular feature, offer or purchase also apply to it.

About Volstrin

Volstrin is a legal recruiting service placing attorneys and legal professionals with law firms and legal departments. We do not guarantee placement, interviews or hiring outcomes. Any placement-fee arrangement with a client is set in a separate written agreement, which governs it.

Who may use the Services

You must be at least 18 years old, or the age of majority where you live, to use the Services, and not barred from using them under applicable law. We may refuse the Services to anyone, to the extent the law allows.

Communications

You agree that we may communicate with you electronically, such as by email or through the Services, and that these communications satisfy any legal requirement that a communication be in writing. Where the law requires your consent for a marketing message, we will ask for it; you can opt out of marketing at any time.

Acceptable use

Do not use the Services to:

  • break the law or infringe anyone's rights;
  • upload or send malware, spam or content you have no right to share;
  • interfere with, disrupt, or put an unreasonable load on the Services;
  • get around security, access controls or usage limits;
  • access, scrape or collect data from the Services by automated means, except through features we provide for that purpose;
  • copy, reverse-engineer or resell the Services, except where the law allows despite this term;
  • build a competing product, or train models on the Services or their output, without our permission;
  • impersonate anyone or misrepresent your affiliation, experience or credentials; or
  • harass, threaten or harm others.

Your content

You keep ownership of content you submit through the Services, such as a resume, career details or a description of a role ("your content"). Give us accurate information and keep it up to date. You give us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, adapt, display and transmit your content as needed to operate, provide, secure, improve and develop the Services and to do what you ask of them, including sharing a candidate's profile with employers and clients when the candidate applies or asks us to. You are responsible for your content and confirm you have the rights needed to use it with the Services. We may remove content for any reason, including content we believe breaks these terms or the law. If you send us feedback or ideas, we may use them for any purpose without obligation to you.

Our Services and intellectual property

The Services, including their software, design, text and trademarks, belong to Purple Directive or its licensors. We give you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business use under these terms. We reserve all rights not expressly granted.

Third-party services

The Services may link to or work with services we do not control. Their own terms and policies apply, and we are not responsible for them.

Changes to the Services

We may add, change, suspend or remove any part of the Services, or stop offering them, at any time.

Suspension and termination

You may stop using the Services at any time. To the extent the law allows, we may suspend or end your access at any time, for any reason, with or without notice, including if you break these terms, if we must for legal reasons, or if your use puts the Services, other users or us at risk. If we end a paid subscription for a reason other than your breach, we will refund the prepaid fees for the unused part of the term. Sections that by their nature should survive termination will survive, including your content license for any content retained as the law requires, payment obligations, disclaimers, limitation of liability, indemnity and dispute resolution.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE OR THAT ANY CONTENT OR OUTPUT IS ACCURATE. The Services do not provide legal, medical, financial or regulatory advice. You are responsible for how you use the Services and their output, and for meeting any legal or regulatory obligations that apply to you.

Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, PURPLE DIRECTIVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100. These limits apply whatever the legal theory of the claim. Some jurisdictions do not allow some of these limits, so they may not apply to you.

Indemnity

To the extent the law allows, you will defend and indemnify Purple Directive against third-party claims, and related losses, damages and costs (including reasonable legal fees), arising from your content, your use of the Services, your breach of these terms, or your violation of law or anyone else's rights.

Dispute resolution and arbitration

Try to resolve it first. Before starting arbitration or a court case, the party with the dispute must send the other a written notice describing it and the relief sought (to us at [email protected]), and both parties will try in good faith to resolve it for 60 days. Any deadline to bring the claim is paused during that time.

Binding individual arbitration. If the dispute is not resolved, you and we agree that any dispute, claim or controversy arising from or relating to the Services or these terms will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association under its Consumer Arbitration Rules (if you use the Services as an individual for personal purposes) or its Commercial Arbitration Rules (otherwise). The arbitrator decides all issues, including the scope and enforceability of this section, except that a court decides the class-action waiver and mass-arbitration provisions below. Hearings may be held by video or, if in person, in the county where you live or another place we agree. Fees are paid as the applicable rules provide. The Federal Arbitration Act governs this section.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may ask a court for an injunction to stop infringement or misuse of intellectual property or unauthorized access to the Services.

No class actions or jury trials. YOU AND WE MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL. The arbitrator may award relief only to the individual party and only to the extent needed for that party's claim.

Mass arbitration. If 25 or more similar demands are filed against us by or with the help of the same or coordinated counsel, they will be administered in batches of up to 100, one arbitrator per batch, and neither party will owe fees for later batches until earlier ones are resolved, to the extent the applicable rules allow.

Opting out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first using the Services under these terms, or of the date this section first applies to you, with your name and a clear statement that you opt out. If we change this section later, you may reject the change by emailing us within 30 days of it taking effect, and the earlier version will apply to you.

If part of this section fails. If the class-action waiver is found unenforceable for a claim, that claim will go to court, and the rest of this section still applies to other claims. If any other part of this section is found unenforceable, the rest remains in effect.

Time limit. To the extent the law allows, any claim must be brought within one year after it arises.

Governing law and venue

These terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration section. Any dispute not subject to arbitration will be resolved in the state or federal courts located in the State of New York, and you and we consent to their jurisdiction. Nothing here limits rights you have under the law of where you live that cannot be waived.

Changes to these terms

We may update these terms from time to time. When we do, we will post the new version here and update the version and effective date above. If a change is material, we will give reasonable notice through the Services or by other appropriate means before it takes effect, unless it is needed sooner for legal, security or abuse-prevention reasons. If you keep using the Services after changes take effect, you accept them; if you do not agree, stop using the Services. Changes to the arbitration section follow that section's opt-out rule.

General

These terms, with any terms they refer to, are the whole agreement between you and us about the Services. If a part is unenforceable, the rest remains in effect. Our not enforcing a term is not a waiver. You may not transfer these terms without our consent; we may transfer them, including in a business transfer. There are no third-party beneficiaries. "Including" means "including without limitation". You must follow export control and sanctions laws that apply to your use of the Services. Neither of us is responsible for delays or failures caused by events beyond reasonable control.
